## Summary

**The claim.** Ville Tolvanen, who counts a hundred board-years across three decades, argues that the Finnish board is badly underused because its form dates from the analogue age: information took weeks to compile, so the board came to look at results already achieved and supervised the CEO. Now even a small company has near-real-time information on markets, competitors and its own results, so the board can take on a new task. His formulation, first set out in the 2021 Board as a Service episode: **the owner creates the opportunities, the board creates tomorrow, and management delivers the results.** He also argues that boards rarely change while CEOs often do: *"Replace the board chair, not the CEO."*

**What Aura Boards is.** Tolvanen describes it as a cultural change resting on four parts: an ideology of leading tomorrow (*"we over me"*), tools (a thousand-day strategy model, an annual plan, key metrics and the board's own annual plan), methods (meetings run as development workshops) and an AI situation room built from the last three years' financial statements, the strategy and the budget. What changed since BaaS, he says, is AI: even a small company now has *"a listed-company CFO, a McKinsey consultant and a good board chair"* at its disposal. The principle is explicit: *"We don't ask AI what we should do. The machine calculates, the human decides."*

**What changes.** Reporting moves out of the meeting into a real-time board channel, and Tolvanen aims for 80 percent of board time on the future. A Finnish board study found boards spend about 40 percent and consider about 60 percent right (Tampere Chamber of Commerce and Talentree, 828 respondents, 2024; Jokinen recalled the figures in the episode as 39 and 57). Every board member brings their own AI, and the models are run against each other. Miettinen describes an independent agent and a digital twin as the two ways to bring an agent into the board's channel.

**How it works.** A machine shop that sees a big customer postpone orders reacts in the channel in April rather than at a meeting six weeks later. Miettinen describes offering, as a Fredman Group board member, to support an ERP project at no charge; Tolvanen holds this up as the modern board member. At strategy days in the Alps, Tolvanen dictated a memo after each session and had AI summarise each day's decisions, replacing slide presentations with documented live discussion.

**Evidence and limits.** The evidence so far is Tolvanen's own: all five of his companies have joined, and the discussion has changed. Miettinen names the main limitation: building a lasting organisational memory with AI is *"bloody hard"*, and no solution is offered. Tolvanen dismisses security concerns, arguing that Finnish company information is largely public, although board material such as acquisition and financing plans often is not. The verdict of both challengers is that it is a revolution rather than the emperor's new clothes, still at *"white paper plus"* level and missing the technical solutions.
